End User License Agreement

1. Agreement to Terms
This End User License Agreement ("EULA") is a legal agreement between you ("User" or "you") and HuddleBoard Sports ("Licensor," "we," "us," or "our") governing your use of the HuddleBoard Sports web application, iOS mobile application, and all related software, updates, and documentation (collectively, the "Software").
By installing, accessing, or using the Software, you acknowledge that you have read, understood, and agree to be bound by this EULA. If you do not agree, do not install or use the Software. If you are accepting this EULA on behalf of a school, district, or organization, you represent and warrant that you have the authority to bind that entity.
2. License Grant
Subject to the terms of this EULA and your compliance with our Terms of Service, we grant you a limited, non-exclusive, non-transferable, revocable license to:
- Access and use the HuddleBoard Sports web application through a supported web browser.
- Download, install, and use the HuddleBoard Sports iOS mobile application on Apple devices that you own or control.
- Use the Software solely for the purpose of managing athletic programs within your school, district, or organization.
This license is granted for the duration of your active subscription or account and is subject to the usage limits of your subscription plan.
3. License Restrictions
You shall not:
- Copy, modify, distribute, sell, lease, sublicense, or create derivative works based on the Software.
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Software.
- Remove, alter, or obscure any proprietary notices, labels, or marks on the Software.
- Use the Software to develop a competing product or service.
- Use the Software in any manner that violates applicable laws, including but not limited to FERPA, COPPA, and state student privacy laws.
- Share account credentials or allow unauthorized users to access the Software through your account.
- Circumvent or attempt to circumvent any security measures, access controls, or usage limits built into the Software.
- Use automated scripts, bots, or scrapers to access the Software, except through our authorized API (Enterprise plan only).
4. User Accounts & Access
The Software operates on a role-based access control system. Users are assigned roles by their organization's administrator (e.g., system administrator, school administrator, athletic director, coach, parent/guardian). Each role determines the features, data, and functionality accessible to the user.
- You are responsible for all activity that occurs under your account.
- Administrators are responsible for provisioning, managing, and deactivating user accounts within their organization.
- You must notify us immediately if you believe your account has been compromised.
5. Student Data & Privacy
5.1 FERPA
The Software processes student educational records on behalf of educational institutions. HuddleBoard Sports acts as a "school official" under FERPA with a "legitimate educational interest." We access, process, and store student data solely as directed by the contracting school or district and in accordance with our Privacy Policy.
5.2 COPPA
When the Software is used for students under 13, the school or district provides consent for data collection on behalf of parents under COPPA's school consent exception. We collect only information necessary to provide the athletic management services and do not use children's data for advertising or commercial purposes unrelated to the educational services.
5.3 Data Ownership
Schools and districts retain full ownership of all student and organizational data entered into the Software. HuddleBoard Sports does not claim any ownership interest in your data. Upon termination, you may export your data, and we will permanently delete all associated records within 90 days.
6. Software Features
The Software includes the following features, subject to your subscription plan:
- Athlete Registration & Onboarding: Registration workflows for athletes, coaches, parents, and school administrators.
- Eligibility Tracking: State-specific eligibility compliance management and reporting.
- Roster & Team Management: Team creation, roster assignments, and sport management.
- Messaging & Notifications: In-platform messaging between coaches, athletes, parents, and administrators.
- Team Calendars: Event scheduling, tagging, and sync with Google Calendar, Apple Calendar, and ICS exports.
- Document Management: FERPA-compliant upload, storage, and history of medical forms, clearances, and other records.
- Equipment Management: Inventory cataloging, checkout tracking, and condition monitoring.
- Evaluations & Assessments: Athlete performance evaluations and assessment tracking.
- Email Templates: Customizable email template management for organizational communications.
- iOS Mobile App: Coach-focused mobile experience for on-the-go management (Pro and Enterprise plans).
- Administrative Tools: Audit logs, user management, support ticketing, and district-level administration.
- API Access: Programmatic access to platform data and functionality (Enterprise plan only).

7. Updates & Modifications
We may update, modify, or discontinue features of the Software at any time. Updates to the web application are deployed automatically. Updates to the iOS mobile application are delivered through the Apple App Store.
We will provide reasonable notice of material changes that affect your use of the Software. Continued use after updates constitutes acceptance of the modified Software.
8. Intellectual Property
The Software, including all code, design, graphics, interfaces, documentation, and trademarks, is the exclusive property of HuddleBoard Sports and is protected by copyright, trademark, and other intellectual property laws.
This EULA does not grant you any rights to our intellectual property except for the limited license described in Section 2. All rights not expressly granted are reserved by HuddleBoard Sports.
9. Third-Party Components
The Software may include third-party libraries, frameworks, or services. Your use of such components is subject to their respective license terms. We are not responsible for the functionality or security of third-party components beyond our reasonable integration and testing efforts.
10. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUDDLEBOARD SPORTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, REVENUE, OR PROFITS. OUR TOTAL LIABILITY UNDER THIS EULA SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless HuddleBoard Sports, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses arising from your use of the Software, violation of this EULA, or infringement of any third-party rights.
13. Termination
This EULA is effective until terminated. Your license to use the Software terminates automatically if you fail to comply with any term of this EULA or if your subscription or account is terminated.
Upon termination:
- You must cease all use of the Software and delete any installed copies of the iOS app.
- Your access to the web application will be revoked.
- Data export and deletion procedures described in our Privacy Policy will apply.
Sections 8, 10, 11, 12, and 16 survive termination.
14. Export Compliance
You agree to comply with all applicable export control laws and regulations. You shall not export or re-export the Software to any country, person, or entity prohibited by applicable law.
15. Modifications to This EULA
We may revise this EULA at any time. Material changes will be communicated via email to account holders at least 30 days before they take effect. The updated EULA will be posted on this page with a revised effective date. Continued use of the Software after the effective date constitutes acceptance of the revised EULA.
16. Governing Law & Dispute Resolution
This EULA is governed by the laws of the State of Georgia, United States, without regard to conflict-of-law principles. Disputes arising under this EULA shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Either party may seek injunctive relief in a court of competent jurisdiction.
17. Severability
If any provision of this EULA is found to be unenforceable, the remaining provisions will continue in full force and effect.
18. Entire Agreement
This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and HuddleBoard Sports regarding your use of the Software and supersedes all prior agreements and understandings.
